Excelente - AI for Real Estate Financial Modeling

1. Who These Terms Are Between

These Terms of Use ("Terms") are between you and CRE Edge, LLC ("CRE Edge," "we," "us," or "our"), a wholly owned subsidiary of www.adventuresincre.com, LLC ("A.CRE"), and govern your installation and use of the Excelente Microsoft Excel add-in (the "Add-in"). By installing, sideloading, or using the Add-in, you agree to these Terms. If you do not agree, do not install or use the Add-in.

If you access Excelente through an AI.Edge / A.CRE membership, your membership is separately governed by the AI.Edge Terms of Service. Where the two conflict with respect to Add-in usage, these Terms control.

2. What Excelente Is

Excelente reads and writes the Excel workbook you have it open in, using AI models you select, to help you build, audit, and edit spreadsheets. Every write to your workbook is presented for your approval before it happens, and writes made through the Add-in's own tools are reversible via its undo feature — see Section 5.

Excelente connects you to AI models in one of two ways:

• Bring Your Own Key (BYOK) — you supply your own OpenRouter API key, obtained directly from OpenRouter, Inc., and are responsible for that account and its costs.
• The included model — a free, limited-time bonus for members of CRE Agents (a product of CRE Agents, Inc.) and of the A.CRE Intelligence Hub. Connecting either membership in the Add-in (signing in to CRE Agents, or adding your personal Intelligence Hub URL) unlocks a model selected by A.CRE, with limited monthly usage paid for by A.CRE or by CRE Agents, Inc. The included model is a complimentary bonus, not a feature or entitlement of any membership: no part of any membership fee pays for it, it is not promised for any period, and it may be reduced, changed, suspended, or revoked at any time, for any reason, without notice, at A.CRE's sole discretion. Its withdrawal is not a change to, or a breach of, your membership. The usage limit is set by us, is not published, applies per calendar month, resets on the first day of each month, is not prorated, and does not carry over. When it is reached, the included model stops until the next month; your own OpenRouter key keeps you working. We verify your membership with CRE Agents or the Intelligence Hub using the credential you connected.

How your data is handled under either path is described in the Privacy Policy, which is incorporated into these Terms by reference.

3. Eligibility and Acceptable Use

You must be at least eighteen (18) years old to use the Add-in. You agree not to:

• Use the Add-in to violate any law, or the rights of any third party;
• Attempt to reverse-engineer, decompile, or bypass the Add-in's approval or sandboxing mechanisms in a way that circumvents user consent for workbook writes;
• Introduce malware, or use the Add-in's Model Context Protocol (MCP) connector feature to route unauthorized access to third-party systems;
• Misrepresent your identity or affiliation when contacting us for support.

We may suspend, limit, or discontinue the included model — in whole or for particular members — for violation of these Terms, for use that circumvents the allowance (for example, sharing membership credentials), or to protect the service. We cannot suspend or revoke a BYOK installation, since it runs entirely on your device against your own OpenRouter account.

4. Source Code License

Excelente's source code is open source under the Apache License 2.0. That license — not these Terms — governs your rights to use, modify, and redistribute the source code. These Terms govern your use of the compiled Add-in as distributed through Microsoft AppSource or sideloaded directly, and your use of the included model; the source-code license governs everything else.

Two things the Apache License does not grant, both described in the NOTICE file:

• Names and brand assets. "Excelente", "A.CRE", "Adventures in CRE", "AI.Edge", and "CRE Edge", with their logos, wordmarks, and brand assets, are trademarks and trade dress of CRE Edge, LLC. Apache License 2.0 Section 6 grants no trademark rights.
• The bundled Skills. The bundled Skills are licensed separately, not under the Apache License. Several encode methodology belonging to CRE Agents, Inc., used under written permission that does not extend to redistribution.

5. AI Output, No Professional Advice, and Your Responsibility

Excelente's outputs — including formulas, values, analysis, and any content generated by the AI model you select — are computer-generated and can be wrong. They are:

• Not investment, financial, tax, legal, or accounting advice;
• Not guaranteed to be accurate, complete, or suitable for any particular purpose;
• Not to be relied upon for any actual transaction or decision without independent verification by a qualified professional.

You are solely responsible for reviewing every change the Add-in proposes before approving it, for verifying the accuracy of any formula, value, or analysis it produces, and for any decision made using its output. The Add-in's approval gate and undo feature are tools to help you stay in control — they do not substitute for your own review.

6. No Warranty

AS FAR AS THE LAW ALLOWS, THE ADD-IN COMES "AS IS," WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Add-in will be uninterrupted, error-free, or that AI-generated output will be accurate.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRE EDGE, LLC ACCEPTS NO LIABILITY FOR ANY LOSS OR DAMAGE — FINANCIAL OR OTHERWISE — ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE ADD-IN, INCLUDING BUT NOT LIMITED TO DECISIONS MADE USING ITS OUTPUT, DATA LOSS, OR WORKBOOK CORRUPTION. You assume full responsibility for any decisions made using the Add-in's output. Nothing in these Terms limits liability that cannot be limited under applicable law.

8. Third-Party Services

The Add-in connects to third-party services you choose to use — OpenRouter, the AI model providers available through it, and any Model Context Protocol (MCP) servers you configure. Your use of those services is governed by their own terms, which we do not control and are not responsible for. See the Privacy Policy for how data flows to these services.

9. Availability and Changes

We may modify, suspend, or discontinue any part of the Add-in or the included model at any time. We may update these Terms from time to time; updated versions will be posted with a revised effective date, and continued use of the Add-in after that date constitutes acceptance of the update.

10. Termination

You may stop using the Add-in at any time by uninstalling it. We may suspend or limit the included model for violation of these Terms, the CRE Agents terms, or the AI.Edge membership terms. Sections 4 through 7 survive termination.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which CRE Edge, LLC is organized, without regard to conflict-of-law principles, except where local law requires otherwise.
